Sample Consulting Services Agreement
This Sample Consulting Services Agreement (“Agreement”) is provided as a reference template for engagements with Maine Hospitality Management LLC (“Consultant”) and its clients (“Client”). Final agreements may vary and are subject to negotiation and legal review.
1. Services
Consultant will provide hospitality consulting, technology integration, generative AI, automation, and related advisory services as described in one or more Statements of Work (“SOWs”) agreed by the parties.
2. Term
The Agreement will commence on the Effective Date specified in the applicable SOW and continue until completion of the services or termination in accordance with this Agreement.
3. Fees and Payment
Client will pay Consultant the fees specified in the applicable SOW. Unless otherwise stated, invoices are due within fifteen (15) days of receipt. Late payments may be subject to reasonable interest charges.
4. Expenses
Reasonable travel and out-of-pocket expenses incurred in connection with the services may be billed to Client at cost, subject to prior approval where required.
5. Confidentiality
Each party agrees to maintain the confidentiality of non-public information disclosed by the other party in connection with the services and to use such information only for purposes of performing under this Agreement.
6. Intellectual Property
Unless otherwise agreed in writing, Consultant retains ownership of methodologies, tools, and templates used in providing services. Client may use deliverables for its internal business purposes.
7. Termination
Either party may terminate this Agreement or any SOW upon written notice if the other party materially breaches and fails to cure within a specified period, or for convenience subject to agreed notice terms.
8. Limitation of Liability
To the fullest extent permitted by law, Consultant’s liability under this Agreement is limited to the amount of fees paid by Client for the services giving rise to the claim.
9. Governing Law
This Agreement is governed by the laws of the State of Maine, without regard to conflict-of-law rules. Any disputes will be resolved in the courts located in Maine.
